Terms of Service & Monthly Service Cost (Monthly Subscription):
The term of this service is and will be for 12 months, billing will occur monthly based upon the pricing tier selected by client. After the initial 12 months, the service converts to a monthly service (month to month). After the initial 12-month agreement Client can cancel any time with written notice and service will end at the end of the current months billing. All Annual agreements are non-cancellable and non-refundable. All services will be billed monthly on the date of the initial subscription date. As noted in advertising and on the website, there is a one time (1x) set up fee equal to the first month’s payment of the subscription plan signed up for and agreed to. Prices do not include sales tax. If a billing error occurs where the payment was not charged in a month SecureIT SMB has the right to charge the customers credit card for any payments missed in error. SecureIT SMB will only charge for payments and the amount agreed to in your initial purchase.
Excluded Services:
Services rendered under this agreement include initial install/training, reporting and information review a minimum of two times during the twelve-month service term. Further action to remove, change or correct Client passwords or other data is the responsibility of the Client. No other labor or support is implied or covered by this agreement.
Limitation of Liability:
Client understands that no monitoring service, security awareness training program or software product can fully protect them from digital theft. SecureIT SMB (SSMB) HAS NO OTHER EXPRESS OR IMPLIED GUARANTEES, WARRANTIES OR CONDITIONS. SSMB’S LIABILITY FOR DIRECT OR INDIRECT DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT IS LIMITED TO THE AMOUNT PAID OR PAYABLE BY CLIENT TO HTM FOR THIS APPLICABLE PRODUCT/SERVICE FOR THE PAST THREE MONTHS. This agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Client agrees that any litigation, claims, proceedings or other actions must be addressed in a local, state or federal court, in the jurisdiction of Kalamazoo County, in the State of Michigan. The prevailing party in any litigation or arbitration proceeding is entitled to recover, from the other party, its reasonable attorneys’ fees and necessary costs incurred in such proceeding.
